This Seller Agreement governs the relationship between BazaarCo and each Seller, Store owner, merchant, brand, distributor, reseller, or other business user approved to sell products through BazaarCo.
By registering as a Seller, opening or operating a Store, uploading listings, accepting orders, or otherwise using BazaarCo’s seller tools, you agree to be bound by this Seller Agreement and all related BazaarCo policies.
This Agreement should be read together with the Terms and Conditions, Seller Policy, Seller Code of Conduct, Product Listing Rules, Prohibited Products Policy, Return and Refund Policy, Intellectual Property Policy, and other policies BazaarCo may apply to marketplace activity from time to time.
1. Marketplace Role
BazaarCo provides a marketplace platform that allows Sellers to offer products to Buyers. Unless BazaarCo expressly states otherwise for a particular transaction, BazaarCo acts as an intermediary platform and does not become the manufacturer, importer, title owner, or principal seller of third-party Seller inventory.
The sales contract for a third-party marketplace order is generally formed between the Buyer and the relevant Seller, with BazaarCo facilitating listing display, ordering, communications, payments, logistics coordination, trust and safety review, dispute handling, and related marketplace services.
2. Eligibility and Seller Approval
To sell on BazaarCo, you must:
- be legally capable of entering into a binding contract under the laws of Nepal;
- if acting for a business, have authority to bind that business;
- provide complete and accurate registration, contact, and payout information;
- complete any identity, business, tax, banking, or compliance verification required by BazaarCo;
- maintain any registrations, permits, approvals, or licenses required for your products or business activity; and
- not be suspended, terminated, restricted, or otherwise disqualified from using BazaarCo.
BazaarCo may accept or reject any seller application in its discretion and may request additional information before activating, reactivating, or continuing a Seller account.
3. Seller Account and KYC Information
You must ensure that all information submitted to BazaarCo, including KYC, business, tax, banking, identity, address, and contact details, remains true, complete, and current.
You are responsible for:
- protecting your seller login credentials and dashboard access;
- restricting access to authorized personnel only;
- promptly updating material changes to your business or account information; and
- all actions taken through your seller account, whether by you, your employees, agents, contractors, or anyone using your credentials with or without your permission.
BazaarCo may suspend onboarding, listings, payouts, or account access if verification is incomplete, inconsistent, expired, or appears misleading.
4. Store, Listings, and Product Information
You may create and operate a Store on BazaarCo subject to this Agreement and applicable BazaarCo policies.
For each product you list, you are responsible for ensuring that:
- the product is lawful to advertise, sell, store, transport, and deliver in Nepal;
- the listing is accurate, current, and not misleading;
- titles, descriptions, specifications, pricing, images, videos, and variations match the actual product offered;
- required disclosures are provided, including those related to condition, size, ingredients, compatibility, age restrictions, warranty, and after-sales support where applicable;
- stock status and fulfillment capability are reasonably accurate; and
- the listing complies with the Product Listing Rules and Prohibited Products Policy.
BazaarCo may edit, classify, annotate, suppress, pause, reject, or remove listings where required for marketplace operations, legal compliance, quality control, or trust and safety.
5. Product Legality, Safety, and Authenticity
You represent and warrant that products offered by you:
- are genuine, lawfully sourced, and not counterfeit, stolen, pirated, or otherwise infringing;
- comply with applicable consumer, labeling, product safety, import, tax, advertising, and sector-specific laws;
- are suitable for sale through the marketplace and do not fall within prohibited categories;
- meet any mandatory standards, warnings, certifications, or approvals required for sale;
- are safe for ordinary use when used as intended and accompanied by proper instructions or warnings where necessary; and
- do not violate the rights of any third party, including intellectual property, privacy, publicity, contractual, or statutory rights.
If BazaarCo requests proof of authenticity, sourcing, authorization, licensing, safety compliance, or import legality, you must provide reasonable supporting documents promptly.
6. Pricing, Taxes, and Commercial Terms
You are responsible for setting lawful and accurate product prices, subject to any BazaarCo promotional, campaign, pricing, or parity rules that apply to your account or category.
You are also responsible for:
- ensuring that displayed prices and discounts are not false, deceptive, or manipulative;
- honoring prices and commercial terms once an order is accepted, except where cancellation is permitted under BazaarCo policy;
- issuing the legally applicable PAN or VAT sales invoice in the Seller's own legal name for every fulfilled suborder;
- ensuring each invoice contains accurate Seller identity, PAN or VAT registration, Product, quantity, price, discount, tax, and total information required by law;
- submitting the invoice number, issue date, declared PAN or VAT number, and a readable PDF through BazaarCo's required invoice workflow before dispatch;
- correcting and resubmitting any invoice BazaarCo rejects because it is unreadable, inconsistent with verified Seller information, or associated with the wrong suborder;
- including the legally required physical invoice or copy with the parcel;
- issuing any correction, debit note, credit note, or related supporting document required because of a return, refund, cancellation, or pricing adjustment; and
- accounting for your own tax obligations, including VAT, income tax, withholding implications, and any licensing or regulatory charges applicable to your business.
BazaarCo may store and transmit a Seller-issued invoice to the Buyer without becoming the invoice issuer. BazaarCo may prevent packing, dispatch, handover, or payout when an invoice is missing, invalid, belongs to another transaction, or does not match the Seller's verified legal or tax information.
The Seller remains responsible for the legal and tax accuracy of every Seller-issued invoice and agrees to reimburse BazaarCo for losses, assessments, penalties, or reasonable costs caused by false, invalid, misleading, or non-compliant Seller invoice information, subject to applicable law.
BazaarCo may charge commissions, fees, service charges, promotional charges, logistics deductions, payment processing deductions, penalties, or other amounts in accordance with your onboarding terms, dashboard disclosures, settlement statements, or applicable BazaarCo fee policies.
7. Orders, Fulfillment, and Customer Service
You must fulfill accepted orders in a timely, professional, and reliable manner.
This includes:
- maintaining sufficient stock for active listings;
- preparing, packing, and dispatching orders with reasonable care;
- meeting the dispatch, handover, or service timelines communicated on BazaarCo;
- providing accurate order status updates where required;
- honoring product inclusions, accessories, and variations shown in the listing; and
- supporting Buyers with reasonable post-order communication and issue resolution through approved BazaarCo channels.
You must not:
- intentionally delay orders without operational justification;
- cancel accepted orders to avoid low-margin sales, promotions, or customer complaints;
- encourage off-platform payments or off-platform order completion; or
- provide misleading fulfillment, tracking, or stock information.
8. Returns, Refunds, and Buyer Claims
You agree to comply with BazaarCo’s Return and Refund Policy, Buyer Protection Policy, Cancellation Policy, and any applicable warranty commitments you or the product manufacturer provide.
You must:
- cooperate with BazaarCo investigations into return, refund, cancellation, counterfeit, shortage, or damage claims;
- accept valid returns, replacements, exchanges, or refunds where required under marketplace policy or law;
- not obstruct legitimate customer remedies through delay, intimidation, or false denials;
- bear responsibility for Seller-caused defects, inaccuracies, fulfillment failures, or policy breaches; and
- honor any warranty, after-sales service, or service promise expressly stated in your listing or product documentation.
BazaarCo may decide, in its discretion, whether a Buyer claim should result in refund, replacement, exchange, partial refund, payout adjustment, chargeback allocation, listing restriction, or another marketplace remedy.
9. Reviews, Ratings, and Marketplace Integrity
You must not manipulate trust signals on the Platform.
In particular, you must not:
- post or procure fake reviews, ratings, or testimonials;
- review your own products through personal, staff, affiliate, or proxy accounts without express authorization and disclosure;
- pressure Buyers to remove or improve negative reviews;
- offer hidden incentives in exchange for misleading review outcomes; or
- interfere with BazaarCo’s moderation or trust and safety processes.
All review-related conduct is also governed by the Reviews and Ratings Guidelines and the Seller Code of Conduct.
10. Intellectual Property and Brand Rights
You represent and warrant that you have all rights necessary to use and upload your Store name, logos, branding, text, photos, videos, packaging images, marketing materials, manuals, and product-related content.
You grant BazaarCo a non-exclusive, royalty-free, transferable, sublicensable right to host, reproduce, display, adapt, translate, distribute, moderate, and use your listing and Store content for operating, promoting, securing, and improving the BazaarCo marketplace, subject to applicable law.
You must not use any third-party trademarks, copyrighted works, celebrity names, logos, images, or proprietary content without authorization.
11. Seller Content, Data Migration, and Intellectual Property Warranties
11.1 Seller Content Ownership and Warranty
The Seller retains all intellectual property rights, copyrights, and ownership over product descriptions, specifications, pricing data, text, graphics, logos, images, media files, and other listing or Store materials uploaded, submitted, imported, migrated, or otherwise provided to BazaarCo (collectively, "Seller Content").
The Seller represents and warrants that:
- the Seller is the sole legal owner of the Seller Content, or has obtained valid, irrevocable, worldwide, and fully paid-up licenses, permissions, consents, or authorizations to use, distribute, display, import, migrate, and publish the Seller Content through BazaarCo;
- BazaarCo's hosting, storage, display, distribution, moderation, and marketplace use of the Seller Content will not infringe, violate, or misappropriate any copyright, trademark, patent, trade secret, privacy right, publicity right, contractual right, platform term, or other proprietary or intellectual property right of any third party, brand, marketplace, or competing platform; and
- all Seller Content is accurate, lawful, non-misleading, and safe for BazaarCo to host, process, copy, resize, cache, display, and use for marketplace operations.
11.2 Platform Migrations and External Data Exports
If the Seller uses bulk upload tools, data migration scripts, CSV, Excel, JSON, image imports, external URLs, platform exports, or any other mechanism to transfer catalog data or media files previously hosted on a third-party e-commerce platform to BazaarCo, the Seller acknowledges and agrees that:
- the Seller assumes full legal responsibility for the exported, imported, copied, linked, migrated, or uploaded data and media files;
- the Seller has reviewed its contracts, dashboard terms, platform rules, agency agreements, brand permissions, and any other restrictions that may apply to the exported data or media;
- the Seller's relationship with the third-party platform or any service provider does not restrict the Seller from extracting, cross-listing, importing, migrating, or repurposing its own product data, imagery, and catalog materials on BazaarCo or competing platforms;
- the Seller will not import scraped, stolen, misappropriated, hotlinked, unauthorized, or third-party-owned content; and
- BazaarCo acts as a passive host for the storage, processing, and display of Seller Content and has no obligation to pre-screen, verify, audit, or confirm the legal origin of uploaded or migrated files before publication.
11.3 Indemnification for Seller Content and Data Migration Claims
The Seller agrees to defend, indemnify, and hold harmless BazaarCo, its parent companies, subsidiaries, affiliates, directors, officers, employees, agents, service providers, and representatives (collectively, the "BazaarCo Indemnitees") from and against all claims, actions, demands, lawsuits, liabilities, damages, losses, settlements, judgments, penalties, costs, and expenses, including reasonable legal fees, expert witness fees, investigation costs, and court costs, arising out of, resulting from, or relating to:
- any actual or alleged infringement, violation, or misappropriation of third-party intellectual property, privacy, publicity, contractual, platform, or proprietary rights by Seller Content;
- any breach, inaccuracy, or alleged breach of the warranties, representations, acknowledgements, or obligations in this Section;
- any dispute between the Seller and a third-party e-commerce platform, brand owner, data provider, agency, photographer, creator, distributor, marketplace, or rights holder regarding data ownership, image ownership, platform terms of service, scraping, catalog exports, content migration, cross-listing, or unauthorized use; and
- BazaarCo's hosting, copying, caching, resizing, importing, migration support, display, removal, or other marketplace processing of Seller Content provided by or on behalf of the Seller.
BazaarCo reserves the right, at the Seller's sole expense, to assume the exclusive defense and control of any matter subject to indemnification by the Seller. The Seller shall cooperate fully with BazaarCo's defense and may not settle any claim in a way that imposes liability, admission, restriction, or obligation on BazaarCo without BazaarCo's prior written consent.
11.4 Right to Terminate and Remove Content
BazaarCo reserves the right, in its sole discretion and without prior notice or liability to the Seller, to immediately remove, disable, suppress, quarantine, reject, or delete any Seller Content, media file, product listing, Store material, or uploaded catalog data that BazaarCo suspects may violate third-party intellectual property rights, platform rules, contractual restrictions, law, or BazaarCo policy.
Repeated, serious, or unresolved violations may result in account suspension or permanent termination, listing removal, payout holds pending investigation, restriction from future onboarding, or a permanent ban from the Platform, subject to applicable law and BazaarCo's internal risk review.
12. Compliance, Investigations, and Audit Rights
BazaarCo may monitor seller activity, listings, order performance, returns behavior, pricing conduct, review patterns, customer complaints, payment risks, and other marketplace signals to assess compliance with this Agreement.
You agree to cooperate with reasonable BazaarCo inquiries, including by providing:
- business or identity verification documents;
- product sourcing records;
- invoices, authorization letters, or import records;
- warranty or compliance documents;
- customer service records relevant to a dispute; and
- other supporting information reasonably necessary to review risk, fraud, legal, or policy concerns.
Where BazaarCo reasonably suspects fraud, counterfeiting, unsafe products, legal non-compliance, abusive conduct, or other serious risk, BazaarCo may take immediate protective action, including temporary listing or account restrictions, before the investigation is complete.
13. Fees, Set-Off, and Payout Holds
BazaarCo may collect payments from Buyers on your behalf for marketplace orders and may deduct from amounts otherwise payable to you:
- commissions and service fees;
- shipping or logistics charges;
- payment processing costs;
- approved refunds, reversals, or credits;
- penalties or recoveries arising from policy violations;
- tax deductions or withholding amounts where required; and
- other sums you owe BazaarCo under this Agreement or related commercial terms.
BazaarCo may delay, suspend, reserve, or withhold payouts where reasonably necessary to address:
- pending returns, refunds, disputes, or chargebacks;
- fraud or abuse investigations;
- incomplete KYC or banking verification;
- legal, tax, or regulatory requests;
- suspected breach of this Agreement; or
- unusual account behavior creating marketplace risk.
14. Prohibited Conduct
Without limiting other restrictions in this Agreement, you must not:
- list prohibited or unlawfully restricted products;
- sell counterfeit, pirated, expired, unsafe, or materially misdescribed goods;
- redirect users off-platform for payment or fulfillment;
- misuse customer data;
- engage in fraud, bribery, collusion, money laundering, or sham transactions;
- create false orders, fake traffic, or manipulated sales metrics;
- harass Buyers, BazaarCo staff, couriers, or other Sellers;
- attempt to bypass BazaarCo controls, suspensions, or verification systems; or
- use BazaarCo in a manner that may expose the marketplace, its users, or partners to legal, reputational, operational, or safety risk.
15. Suspension and Termination
BazaarCo may suspend, restrict, or terminate your Store, listings, dashboard access, or seller account, with or without prior notice where appropriate, if:
- you breach this Agreement or a related BazaarCo policy;
- your account information is false, incomplete, or unverifiable;
- your products generate serious safety, legal, authenticity, or customer harm concerns;
- you receive repeated substantiated complaints, returns abuse findings, or trust and safety escalations;
- BazaarCo is required to do so by law, court order, regulator, payment partner, or platform risk control; or
- BazaarCo reasonably determines that continued seller access creates unacceptable risk.
Suspension or termination does not relieve you of obligations that arose before the restriction, including refund, chargeback, indemnity, tax, and cooperation duties.
16. Data Use and Confidentiality
Any customer, order, pricing, or operational information made available to you through BazaarCo may be used only for legitimate fulfillment, support, compliance, and seller operations on the Platform.
You must:
- protect customer and platform data with reasonable care;
- use such data only for authorized marketplace purposes;
- not sell, share, scrape, or repurpose customer data without legal basis and BazaarCo authorization; and
- comply with applicable privacy and data protection obligations.
Non-public BazaarCo business information, seller tools, and operational materials should be treated as confidential unless BazaarCo has made them publicly available.
17. Disclaimer of BazaarCo Liability
To the maximum extent permitted by law, BazaarCo does not guarantee uninterrupted marketplace access, specific sales volumes, ranking positions, campaign eligibility, payout timing free from external delays, or the conduct of Buyers, couriers, payment partners, or third-party service providers.
BazaarCo is not responsible for indirect, incidental, special, consequential, reputational, or lost-profit damages arising from your use of the marketplace, except to the extent such exclusion is not permitted by applicable law.
Nothing in this Agreement excludes liability that cannot lawfully be excluded under Nepal law.
18. Indemnity
You agree to defend, indemnify, and hold harmless BazaarCo, its affiliates, and their directors, officers, employees, agents, and service providers from claims, liabilities, losses, damages, fines, penalties, costs, and reasonable expenses arising out of or related to:
- your products, listings, or Store content;
- your breach of this Agreement or related BazaarCo policies;
- your violation of law or regulatory requirements;
- product safety defects, consumer claims, or recall-related matters attributable to you or your products;
- intellectual property or other third-party rights claims connected to your content or products; or
- fraud, negligence, misconduct, or willful wrongdoing by you or persons acting on your behalf.
19. Changes to This Agreement
BazaarCo may update this Seller Agreement from time to time to reflect changes in law, marketplace operations, fee models, compliance standards, risk controls, or product features. The latest version will be posted on the Platform with the updated effective date. Continued use of BazaarCo’s seller services after an update may constitute acceptance of the revised Agreement, subject to applicable law.
20. Governing Law and Disputes
This Agreement is governed by the laws of Nepal.
Any dispute arising out of or relating to this Agreement, the Seller relationship, or marketplace activity may be handled first through BazaarCo’s internal support or grievance process where appropriate. If a dispute proceeds formally, it will be subject to the competent courts of Kathmandu, Nepal, unless applicable law requires otherwise.
